Each time you run a Campaign, the relevant particulars for each separate Campaign (available through your campaign dashboard) are considered to be individual “Quotes” for the purposes of the Terms and Conditions, and you enter into an Agreement with Vamp on the basis of each Quote and Terms and Conditions in addition to this TOU. In the event of inconsistency between this TOU and the Terms and Conditions, the Terms and Conditions prevail.
Vamp does not endorse any content and is not responsible for any content on the Service which originates from a source other than Vamp. This includes the content provided by any Talent.>
Terms defined in the Terms and Conditions have the same meaning when used in this TOU.
Subscription Fees – Vamp charges a Subscription Fee for the subscription to and use of the Service. The Subscription Fee will be notified to you through the Service and will be charged at the commencement of each billing period on a recurring basis to the credit card provided by you until cancelled in accordance with this TOU. The Subscription Fee is subject to change, and if it does change, Vamp will provide the Client with 60 days advance notice of same.
Campaign Fees – Vamp will charge a fee for each Campaign commenced by the Client (Campaign Fee). This Campaign Fee is to be paid up-front in full as a “Budget Fee” in accordance with cl 3 of the Terms and Conditions. All Campaign Fees will be submitted to the Client for approval through the Service before being charged. Once the Client has approved the Campaign Fee on the Service, it will be charged to the Client’s credit card immediately.
Campaign Fees paid in relation to a campaign are only refundable in the sole and exclusive discretion of Vamp, irrespective of whether the Client cancels a campaign prior to completion of that Campaign.
Payment Methods and Handling – All payments made in relation to the Service, including any Campaigns must be made by credit card. In making any payment in relation to the Service, the Client agrees that all credit card information and any other payment or personal information provided by the Client necessary to make payments in relation to the Service may be handled by Stripe Payments Australia Pty Ltd ACN 160 180 343 (Stripe). Other Payment Methods – Vamp may make available to you various payment processing methods in addition to the payment methods noted in “Payment Methods and Handling” to facilitate your use of the Service. You must abide by any relevant terms and conditions or other legal agreement, whether with Vamp or a third party, that governs your use of a given payment processing method. Vamp may add or remove payment processing methods at its sole discretion. You are solely responsible for all amounts payable associated with the Service.
Subscription – you may cancel a subscription at any time before the end of the applicable billing period by sending an email to sales@vamp.me Any cancellation of your subscription will apply to the next billing period and you will not receive a refund for the current billing period.
You may not cancel your subscription while you have Campaigns on the Service which are not yet completed or cancelled.
Campaigns – Campaigns may only be cancelled by sending an email to support@vampdash.zendesk.com. In the event of a Campaign cancellation, the Campaign Fee paid in relation to the Campaign is not refundable for any reason, except where Vamp decides to refund whole or part of the Campaign Fee in its sole and exclusive discretion.
When running a Campaign, Vamp will source Materials from Talent through the Service, for use by the Client in accordance with the terms of the Campaign. Ownership of the Materials (and IPR in them) as well as the Client’s Usage Rights in relation to those Materials are governed by the Agreement in relation to that Campaign. The Client may only purchase Additional Usage Rights by separate agreement. Please contact support@vampdash.zendesk.com for enquiries in this regard.
Jurisdiction – this agreement is governed by and construed in accordance with the laws of New South Wales and the Commonwealth of Australia.
No Responsibility for Influencers – Vamp takes no responsibility for the actions of any Talent engaged through the Service, including any Material produced by Talent or any actions taken by Talent, whether or not related to a Campaign.
